What you Should Know About Legal Structures, Tax Issues and Marketing Approaches When Starting or Running a Small Practice Seminar. This seminar identifies the most common areas that Professional Engineers and Geoscientists identify as key to developing a sustainable business.

Legal Structure
Participants will be introduced to several common legal structures through which small businesses are commonly carried on, including sole proprietorships, partnerships and corporations.  In addition to canvassing the legal attributes of each structure, we will consider the advantages and disadvantages of each, as well as the considerations that small business owners should review before choosing a business structure, such as start-up and maintenance costs, liability issues, control and management and succession considerations.
We will also review the key agreements which are often entered into in connection with business start-ups, including partnership agreements and shareholders’ agreements.  Finally, we will canvas the duties and obligations imposed on directors, officers and partners as a result of carrying on business using different legal structures, and potential liabilities arising from breach of these duties.
Tax Issues
The tax portion of the seminar will go cover the following topics:

  5. Expenses with both a personal & business element
  6. Share Ownership Options

Marketing Approaches
Delivering a professional service is unique and different from a normal business in many ways. The objective of the session is to help the participants gain or understand different marketing strategies that enable them to capitalize on their competitive edge.  Participants will be given several common models to assess their business.
  • Overview of the importance of understanding your Strengths, Weaknesses and Neutrals. With sole proprietorships and small firms, the business and the leader(s) are integrated.
  • Determining the competitive landscape, including scanning the external environment, and understanding the key success factors of your clients.
  • Developing your competitive edge by understanding what is unique about you and your business and how that assists in marketing the business. 
Brad Sollis – Bull, Housser & Tupper LLP

Brad Sollis is an associate in the Business Law Group at Bull, Housser & Tupper LLP where he assists clients with a variety of corporate and commercial law matters involving both private and public companies, including mergers and acquisitions, corporate reorganizations, financings and due diligence.  Brad’s experience includes negotiating and drafting asset and share purchase agreements, shareholders’ agreements, supply and manufacturing agreements and other commercial documents. He also provides advice regarding establishing and financing start-up businesses.
Hugh Wolley – Lewis & Company, Chartered Accountants

Hugh has worked as an independent tax consultant for the past 20 years providing tax services to accounting firms, law firms, private companies and high net worth individuals.  Hugh is a frequent lecturer for the Institute of Chartered Accountants and the Canadian Tax Foundation and has also lectured for the Certified General Accountants, the Certified Management Accountants and Continuing Legal Education.  Hugh formerly worked at the CRA’s Rulings Directorate in Ottawa writing tax rulings for butterfly transactions and other types of corporate reorganizations.
